Welcome to SexyRichParty.com ("SexyRichParty", "the Platform", "we", "us", or "our"), operated by SRP Online Inc. These Terms of Service ("Terms") govern your access to and use of our website, platform, and related services. By accessing or using the Platform, you agree to be bound by these Terms.

1. Overview of the Platform

SexyRichParty.com is a premium subscription and promotional ecosystem designed for festival organizers, cultural associations, nightclubs, and entertainment promoters ("Creators") to digitize their brands, distribute exclusive content, manage subscriptions, and engage with their community ("Users").

2. Eligibility & Age Restrictions

You must be at least 18 years old (or the age of majority in your jurisdiction) to access or use the Platform. We reserve the right to request age verification at any time.

3. Creator Accounts & Partnerships

Creators (including Festival Boards and Associations) represent and warrant that:

  • They are legally authorized to operate the events and promotions advertised.

  • They own or have the legal right to all content distributed.

  • They are responsible for event fulfillment, safety, and local permitting.

4. The 80/20 Partnership Revenue Model

SexyRichParty operates on a Performance-Based Revenue Model.

  • No Upfront Fees: There are no monthly hosting or setup fees for Creators to join the Platform.

  • Revenue Split: SexyRichParty retains a 20% Platform Partnership Fee from all gross subscription revenue, tips, and digital sales processed through the Platform.

  • Creator Share: Creators receive 80% of all gross revenue generated by their subscribers, less applicable third-party payment processing fees (e.g., Stripe, PayPal).

  • Payment Frequency: Payouts are issued according to the schedule defined in the Creator Dashboard (typically monthly).

5. Content Guidelines

5.1 Permitted Content: Creators may upload promotional and exclusive content related to festivals, Mas-making, music, nightlife, and cultural entertainment.5.2 Prohibited Content: You may not post content that involves minors, is non-consensual, promotes illegal substances, or infringes on intellectual property. We reserve the right to remove content that devalues the premium aesthetic of the Platform.

6. Taxes & Financial Responsibility

Creators are solely responsible for reporting and paying all applicable taxes (VAT, GST, HST, or sales tax) in their respective jurisdictions. SexyRichParty acts as a service provider and does not provide tax or legal advice.

7. Intellectual Property

  • Creator Ownership: You retain 100% ownership of the content you upload. By posting, you grant SexyRichParty a non-exclusive license to display and promote that content to grow your audience on the Platform.

  • Platform Ownership: All SRP branding, the "Gold & Black" aesthetic, and underlying software are the exclusive property of SRP Online Inc.

8. Privacy & Data

Your use of the Platform is governed by our Privacy Policy. We prioritize the security of both Creator and User data.

9. Limitation of Liability

To the fullest extent permitted by law, SRP Online Inc. shall not be liable for event cancellations, loss of profits due to third-party outages, or disputes between Creators and their Users. Our total liability is limited to the amount of Platform fees retained by us from your account in the preceding 12 months.

10. Termination

Either party may terminate the partnership at any time. Upon termination, the Creator is responsible for fulfilling any outstanding obligations to their active subscribers.

11. Governing Law

These Terms shall be governed by and interpreted under the laws of the Province of Ontario, Canada, without regard to conflict of law principles.
