Welcome to SexyRichParty.com (“SRP,” “SexyRichParty,” “we,” “us,” or “our”), operated by SRP Online Inc.
These Terms of Service (“Terms”) govern your access to and use of SexyRichParty.com and any related services, features, content, communications, and tools offered through the platform (collectively, the “Platform”).
By accessing, creating an account on, or using the Platform, you agree to these Terms. If you do not agree, you should not use the Platform.
1. About SexyRichParty
SexyRichParty is an event discovery, nightlife, entertainment, and audience-engagement platform designed to connect users with venues, events, promoters, organizers, creators, businesses, and entertainment experiences.
The Platform may provide features including event and venue listings, profiles, follower and audience tools, promotional offers, communications, event discovery, advertising, marketing services, and other features that SRP may introduce from time to time.
Unless expressly stated otherwise, SRP is a discovery and promotional platform and is not the owner, organizer, operator, or manager of third-party venues or events listed or promoted through the Platform.
2. Eligibility
You must be at least 18 years old, or the age of majority required in your jurisdiction if higher, to create an account or use age-restricted portions of the Platform.
By using the Platform, you represent that you meet all applicable age and legal requirements.
Certain venues, events, offers, or services may impose additional age or eligibility requirements.
3. Accounts
Some features require an account.
You agree to provide accurate information and are responsible for activity occurring through your account.
You must not impersonate another person or business, create fraudulent accounts, misuse another user's account, or attempt to gain unauthorized access to the Platform.
SRP may use third-party authentication services, including social or identity providers, to facilitate account creation and login.
4. Venue, Event and Business Listings
SRP may allow venues, event organizers, promoters, businesses, creators, or authorized representatives to create, submit, manage, or claim listings and profiles.
SRP may also create or display listings using publicly available information or information supplied by third parties where legally permitted.
Anyone submitting or managing a listing represents that they have the necessary authority and rights to provide the information and promotional materials submitted.
SRP may modify, reject, suspend, remove, or request verification of listings when reasonably necessary to maintain the quality, accuracy, security, or integrity of the Platform.
5. Event Information
Event details may be provided by venues, organizers, promoters, users, or other third parties.
Dates, times, prices, availability, performers, promotions, dress codes, admission requirements, and other event details may change.
Users should confirm important information directly with the applicable venue or event organizer before attending.
SRP does not guarantee that every event or listing will occur exactly as advertised.
6. Free and Paid Services
SRP may offer both free and paid features or services.
These may include listings, enhanced visibility, advertising, promotional services, subscriptions, audience-engagement tools, performance-based services, premium features, or other products and services.
Prices, fees, commissions, performance charges, billing periods, and other commercial terms will be disclosed when applicable through the Platform, during the purchasing process, or through a separate agreement.
SRP may introduce, modify, discontinue, or change the pricing of services from time to time, subject to applicable law and any existing contractual commitments.
7. Payments
When purchasing a paid service, you agree to provide accurate billing information and authorize the applicable charges disclosed before purchase.
Certain transactions may be processed by third-party payment providers and may also be subject to their terms and privacy practices.
Unless otherwise specified, applicable taxes may be added where required by law.
8. Promotions, Offers and Perks
Venues, promoters, businesses, creators, or SRP may make discounts, perks, promotions, incentives, or special offers available through the Platform.
Individual offers may have their own eligibility requirements, expiration dates, availability restrictions, redemption requirements, or other conditions.
Unless an offer is expressly provided directly by SRP, the business or organizer offering it is responsible for fulfilling the offer.
9. Followers, Communications and Audience Tools
The Platform may allow users to follow venues, events, creators, businesses, promoters, or other profiles and receive communications or updates.
SRP may provide tools that enable authorized Platform participants to communicate with audiences that have chosen to follow or otherwise engage with them.
Use of these tools must comply with applicable privacy, anti-spam, marketing, and communications laws.
Users may have options to unfollow, unsubscribe, adjust preferences, or otherwise stop certain communications.
10. User and Partner Content
Users, venues, promoters, businesses, creators, and other Platform participants may submit content including text, images, videos, logos, event information, promotional materials, links, and other materials.
You retain ownership of content you own.
By submitting content to SRP, you grant SRP a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, distribute, and promote that content as reasonably necessary to operate, market, and improve the Platform and promote the associated listing, event, profile, or service.
You represent that you have the rights and permissions necessary to submit such content.
11. Prohibited Conduct
You may not use the Platform to engage in unlawful, fraudulent, deceptive, abusive, threatening, exploitative, or harmful activity.
You may not upload or distribute content that infringes another party's intellectual-property, privacy, publicity, or other legal rights.
You may not attempt to interfere with the Platform's operation, bypass security measures, scrape or harvest information in violation of applicable law or these Terms, distribute malware, manipulate engagement or verification systems, or use the Platform for unauthorized spam.
SRP may investigate suspected violations and take appropriate action.
12. Intellectual Property
Except for content owned by users or third parties, the Platform and its branding, design, software, features, graphics, logos, trademarks, and other proprietary materials are owned by or licensed to SRP Online Inc.
Nothing in these Terms transfers ownership of SRP intellectual property to users.
13. Third-Party Services and Links
The Platform may contain links to or integrations with third-party websites, payment processors, authentication providers, ticketing services, social networks, venues, businesses, or other services.
SRP does not control those third parties and is not responsible for their independent content, policies, availability, products, or services.
Your interaction with third-party services may be governed by their own terms and policies.
14. Safety and Third-Party Events
Users attend events and visit venues at their own discretion.
SRP does not control the conduct of venue operators, organizers, performers, promoters, attendees, or other third parties.
To the extent permitted by law, SRP is not responsible for injuries, losses, disputes, cancellations, denied entry, venue conditions, or other incidents arising from third-party events or venues.
Nothing in these Terms excludes liability that cannot legally be excluded.
15. Suspension and Termination
SRP may restrict, suspend, or terminate accounts or access to Platform features where reasonably necessary because of violations of these Terms, suspected fraud, security concerns, legal requirements, misuse of the Platform, or conduct that may harm SRP, its users, partners, or third parties.
Users may stop using the Platform at any time.
Certain provisions of these Terms that by their nature should survive termination will remain effective.
16. Platform Availability
We work to maintain a reliable Platform but cannot guarantee uninterrupted or error-free operation.
SRP may modify, update, temporarily suspend, replace, or discontinue features as the Platform evolves.
17. Disclaimer
The Platform and its content are provided on an “as available” and “as is” basis to the extent permitted by applicable law.
SRP does not guarantee particular attendance, audience growth, revenue, sales, followers, business results, event performance, or other outcomes from using the Platform.
18. Limitation of Liability
To the fullest extent permitted by applicable law, SRP Online Inc. and its directors, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Platform.
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
19. Privacy
Your use of the Platform is also subject to our Privacy Policy.
The Privacy Policy explains how personal information may be collected, used, disclosed, stored, and otherwise handled in connection with the Platform.
20. Changes to These Terms
SRP may update these Terms as the Platform, services, business operations, or legal requirements evolve.
The updated version will be posted on the Platform with a revised “Last Updated” date.
Where required by applicable law, additional notice or consent will be provided.
21. Governing Law
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.
Any disputes will be handled in accordance with applicable law and any mandatory rights available to consumers or users in their jurisdiction.
