VENUE, PROMOTER & PARTNER AGREEMENT

This Venue, Promoter & Partner Agreement (“Agreement”) governs participation by venues, event organizers, promoters, businesses, creators, and other commercial partners (“Partners”) using SexyRichParty.com (“SRP,” “SexyRichParty,” the “Platform”), operated by SRP Online Inc. (“SRP Online,” “we,” “us,” or “our”).

By creating, claiming, managing, or participating in a commercial profile, venue listing, event listing, promotional campaign, partnership program, or other Partner service through SRP, you agree to this Agreement, together with our Terms of Service and Privacy Policy.

1. Purpose of the Platform

SexyRichParty is an event discovery, nightlife, entertainment, promotional, and audience-engagement platform.

SRP may provide Partners with services and tools including:

  • Venue and business profiles
  • Event listings
  • Event discovery
  • Promotional exposure
  • Audience and follower-building tools
  • Audience communication and engagement tools
  • Advertising and marketing opportunities
  • Promotional offers and incentives
  • Performance-based promotional programs
  • Premium services
  • Analytics and reporting
  • Other services introduced by SRP from time to time

Availability of individual services may vary by Partner, location, program, or account type.

2. Partner Eligibility and Authority

By participating as a Partner, you represent that:

  • You are legally permitted to enter into this Agreement;
  • You have authority to represent the applicable venue, business, event, organization, or brand where applicable;
  • Information supplied to SRP is accurate and not intentionally misleading;
  • Your activities comply with applicable laws and regulations.

SRP may request reasonable verification of a Partner's identity, authority, business, venue, or event where necessary for security, fraud prevention, compliance, or Platform integrity.

3. Listings and Profiles

Partners may be permitted to create, claim, submit, or manage venue, event, business, promoter, or other profiles and listings.

SRP may also create listings using publicly available information or information supplied by third parties where legally permitted.

Partners are responsible for maintaining accurate information regarding their events, venue, offers, pricing, dates, operating hours, admission requirements, and other information under their control.

SRP may edit formatting, categorize content, request verification, or remove inaccurate, misleading, unlawful, outdated, or inappropriate listings.

4. Free and Paid Services

SRP may offer both free and paid Partner services.

Depending on the program, these may include:

  • Free or enhanced listings
  • Featured placement
  • Advertising
  • Promotional campaigns
  • Audience-engagement tools
  • Premium Platform features
  • Subscription services
  • Performance-based promotional services
  • Marketing services
  • Other commercial programs

The availability of a free service does not guarantee that the service will remain free indefinitely.

Any applicable fees, commissions, revenue-sharing arrangements, performance charges, billing periods, campaign budgets, or other commercial terms will be disclosed before the applicable paid service begins or documented in a separate agreement.

Partners will not be charged undisclosed fees.

5. Separate Commercial Arrangements

SRP and a Partner may agree to additional commercial terms for particular campaigns, services, events, promotions, or programs.

These terms may include pricing, commissions, promotional commitments, performance metrics, campaign duration, incentives, revenue sharing, or other arrangements.

Where a separately accepted written agreement conflicts with this general Agreement regarding a specific paid service or campaign, the specific agreement will govern that service or campaign to the extent of the conflict.

This allows SRP and Partners to create customized arrangements without modifying this general Agreement.

6. Audience and Followers

The Platform may allow users to follow or engage with Partner profiles, venues, businesses, promoters, events, or other accounts.

SRP may provide Partners with tools to build, understand, communicate with, and engage audiences through the Platform.

A user's decision to follow or engage with a Partner does not automatically transfer ownership of that user's personal information to the Partner.

Partners may only access, use, export, or otherwise process personal information where permitted by SRP, the user's choices or consent, and applicable law.

Partners must comply with applicable privacy, electronic-marketing, anti-spam, and communications laws when using audience information or communication tools.

7. Communications With Followers

Partners may use authorized SRP tools to communicate information such as:

  • Upcoming events
  • Promotions
  • Special offers
  • Venue updates
  • Perks
  • Entertainment announcements
  • Other relevant communications

Partners may not use SRP communication tools for unauthorized spam, deceptive marketing, harassment, unlawful solicitation, or unrelated mass messaging.

Users must be provided with appropriate communication controls and unsubscribe mechanisms where required by law.

8. Promotions, Offers and Incentives

Partners may offer discounts, perks, incentives, admission offers, promotional codes, credits, giveaways, or other benefits through SRP.

Partners are responsible for clearly communicating applicable:

  • Eligibility requirements
  • Redemption conditions
  • Expiration dates
  • Availability restrictions
  • Age requirements
  • Purchase requirements
  • Other material conditions

Unless SRP expressly assumes responsibility for an offer in writing, the Partner offering the promotion is responsible for honouring and fulfilling it.

9. Event Operations and Responsibility

Partners remain responsible for the events and venues they own, operate, organize, manage, or promote.

This includes responsibility, where applicable, for:

  • Required licences and permits
  • Alcohol-service requirements
  • Capacity restrictions
  • Security
  • Staffing
  • Insurance
  • Accessibility requirements
  • Health and safety
  • Admission policies
  • Age restrictions
  • Performer agreements
  • Taxes
  • Local regulations
  • Other legal obligations

Unless expressly agreed otherwise in writing, SRP is a discovery and promotional platform and does not become the owner, operator, organizer, or manager of an event or venue simply because it is listed or promoted on the Platform.

10. Partner Content

Partners may provide SRP with:

  • Logos
  • Photographs
  • Videos
  • Event flyers
  • Promotional graphics
  • Event descriptions
  • Venue information
  • Offers
  • Links
  • Brand materials
  • Other content

Partners retain ownership of content they own.

By providing content to SRP, the Partner grants SRP a non-exclusive, worldwide, royalty-free licence to host, reproduce, resize, format, display, distribute, and promote that content as reasonably necessary to operate the Platform and promote the Partner, venue, event, listing, or applicable campaign.

Partners represent that they have the necessary rights and permissions to provide such content.

11. Intellectual Property

Nothing in this Agreement transfers ownership of a Partner's trademarks or other intellectual property to SRP.

Similarly, Partners receive no ownership interest in SRP Online Inc., SexyRichParty.com, SRP technology, branding, trademarks, software, databases, designs, or other proprietary assets.

Any permitted use of another party's intellectual property is limited to the purposes authorized by the applicable agreement.

12. Performance and Results

SRP may provide promotional, discovery, advertising, audience-growth, attendance-generation, or other marketing services.

Unless expressly guaranteed in a separate written agreement, SRP does not guarantee:

  • A specific number of followers
  • Event attendance
  • Ticket sales
  • Reservations
  • Revenue
  • Customer acquisition
  • Impressions
  • Clicks
  • Conversions
  • Engagement
  • Business growth
  • Any particular commercial result

Performance may vary based on the Partner, offer, event, market, audience, campaign, pricing, timing, and other factors.

13. Performance Tracking and Verification

Certain SRP programs may measure actions such as clicks, registrations, redemptions, reservations, check-ins, attendance, purchases, or other agreed performance events.

Where applicable, the measurement and billing methodology for a paid performance-based program will be disclosed separately.

Partners agree not to intentionally manipulate, falsify, interfere with, or circumvent legitimate tracking or verification systems.

SRP may investigate suspected fraudulent or manipulated activity.

14. Payments

Where a Partner purchases paid services, the Partner agrees to pay the charges disclosed and accepted before the service begins.

Payments may be processed through third-party payment providers.

Applicable taxes may be charged where required.

Additional payment, cancellation, refund, or billing terms may apply to particular services and will be disclosed where applicable.

15. Partner Conduct

Partners must not use SRP to:

  • Promote illegal activities
  • Provide knowingly false event information
  • Commit fraud
  • Infringe intellectual-property rights
  • Impersonate another business or individual
  • Harass users
  • Distribute malware
  • Circumvent Platform security
  • Manipulate performance data
  • Send unauthorized spam
  • Misuse personal information
  • Engage in activity that creates unreasonable safety, legal, or reputational risks for SRP or its users

SRP may investigate suspected violations.

16. Relationship Between SRP and Partners

Unless a separate written agreement expressly states otherwise, participation on SRP does not create an employment relationship, agency, franchise, joint venture, fiduciary relationship, or legal partnership between SRP Online Inc. and a Partner.

Each party remains responsible for its own business operations, personnel, obligations, taxes, and legal compliance.

The use of the term “Partner” on the Platform describes a commercial or promotional relationship and does not, by itself, create a legal partnership.

17. Suspension and Removal

SRP may suspend or remove Partner access, listings, events, content, campaigns, or accounts where reasonably necessary because of:

  • Violation of this Agreement
  • Violation of the Terms of Service
  • Fraud or suspected fraud
  • Security concerns
  • Misleading information
  • Unlawful activity
  • Abuse of users or Platform features
  • Non-payment of applicable charges
  • Legal or regulatory requirements
  • Material risk to SRP, users, or third parties

Where appropriate, SRP may provide an opportunity to correct an issue.

18. Termination

A Partner may stop using voluntary SRP services at any time, subject to outstanding obligations under any paid campaign or separate agreement.

SRP may terminate a Partner relationship in accordance with this Agreement or applicable specific service terms.

Termination does not eliminate payment obligations or other responsibilities incurred before termination.

19. Confidential Information

Where SRP or a Partner receives non-public business, campaign, pricing, technical, strategic, or other confidential information from the other party, each party agrees to use reasonable care to protect such information and use it only for the applicable business relationship.

This obligation does not apply to information that is publicly available through no breach of this Agreement, independently developed, lawfully obtained from another source, or required to be disclosed by law.

20. Privacy

Partners must handle personal information accessed through SRP in accordance with:

  • SRP's Privacy Policy
  • Applicable privacy legislation
  • Applicable anti-spam and electronic-marketing requirements
  • User permissions and consent
  • Any additional data-use requirements communicated by SRP

Partners must not sell, improperly disclose, scrape, harvest, or misuse SRP user information.

21. Limitation of Liability

To the fullest extent permitted by applicable law, SRP Online Inc. and its directors, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages arising from a Partner's use of the Platform.

Nothing in this Agreement excludes liability that cannot legally be excluded.

22. Indemnification

To the extent permitted by applicable law, a Partner agrees to indemnify and hold harmless SRP Online Inc. and its directors, officers, employees, and agents from third-party claims, damages, liabilities, losses, and reasonable costs arising from:

  • The Partner's event or venue operations
  • Content supplied by the Partner
  • The Partner's violation of applicable law
  • The Partner's violation of this Agreement
  • The Partner's infringement of third-party rights

This provision applies only to the extent legally enforceable.

23. Changes to This Agreement

SRP may update this Agreement as the Platform, services, commercial programs, or legal requirements evolve.

Updated versions will be posted on the Platform with a revised “Last Updated” date.

Where required by applicable law or an existing contract, additional notice or consent will be provided.

24. Governing Law

This Agreement is governed by the laws of the Province of Ontario and the applicable federal laws of Canada, subject to any mandatory rights or requirements that apply in another jurisdiction.
