Creator & Partnership Agreement

This Creator Agreement ("Agreement") is entered into between SRP Online Inc. ("SexyRichParty", "we", "us", or "our") and you ("Creator", "Partner", "you", or "your"). This Agreement governs your professional participation as a Creator on SexyRichParty.com (the "Platform").

By registering as a Creator, uploading content, or promoting sanctioned events on the Platform, you agree to be bound by this Agreement, the Terms of Service, and the Privacy Policy.

1. Eligibility & Professional Verification

To maintain the "Gold Standard" of the Platform, all Creators must:

  • Be at least 18 years of age.

  • Successfully complete Identity Verification (Government-issued photo ID).

  • For Organizations/Festivals: Provide Business Registration or proof of authorization to represent the entity.

  • SRP Online Inc. reserves the right to deny or revoke Creator status at our sole discretion to protect the integrity of the Platform.

2. The 80/20 Partnership Revenue Model

2.1 Performance-Based Fees: There are no upfront costs to join the Platform. SRP Online Inc. operates on a commission-only basis.2.2 Revenue Split: * The Creator receives 80% of gross subscription revenue, tips, and digital sales generated through their profile.

  • SRP Online Inc. retains a 20% Partnership Fee to cover global hosting, security, and payment infrastructure.2.3 Payouts: Net earnings are distributed on a monthly cycle via the banking method specified in the Creator Dashboard. All payouts are subject to third-party processing fees (e.g., Stripe/PayPal).2.4 Disputes & Chargebacks: The Creator is responsible for refunds and chargebacks related to their specific events or content. SRP Online Inc. may deduct these amounts from future payouts.

3. Content Standards & Ownership

  • Ownership: You retain 100% ownership of the intellectual property you upload.

  • License Grant: You grant SRP Online Inc. a non-exclusive, worldwide, royalty-free license to host, display, and promote your content to grow your audience on the Platform.

  • Prohibited Content: Content involving minors, non-consensual acts, or illegal substances is strictly prohibited and will result in immediate termination and potential legal reporting.

4. Event Responsibility

Creators (Promoters and Festival Boards) are solely responsible for:

  • The accuracy of event details, pricing, and scheduling.

  • Obtaining all necessary municipal permits, licenses, and insurance.

  • On-site safety and attendee experience.

  • SRP Online Inc. is a digital service provider and is not an event organizer or venue operator.

5. Taxation

Creators are independent contractors. You are solely responsible for reporting and paying all applicable taxes (GST, HST, VAT, or local sales tax) in your jurisdiction. SRP Online Inc. does not withhold taxes on your behalf.

6. Termination of Partnership

Either party may terminate this Agreement with written notice.

  • Upon termination, the Creator must fulfill any remaining obligations to active subscribers.

  • Access to the Platform will be revoked, and final payouts will be issued after a standard 30-day "Dispute Holding" period to account for potential chargebacks.

7. Indemnification & Liability

You agree to indemnify and hold harmless SRP Online Inc. and its officers from any claims, damages, or legal fees arising from your events, your content, or your violation of this Agreement. Our total liability is limited to the fees retained by us from your account in the preceding 12 months.

8. Governing Law

This Agreement shall be governed by and interpreted under the laws of the Province of Ontario, Canada.
